Genesys is looking for an experiencedcorporatelawyer with a background incorporategovernance to join our growing legal team. Reporting to the Deputy General Counsel,CorporateTransactions & Governance, you'll play a key role in developing, managing, and overseeing the company'scorporategovernance practices tosupportthe company in itsgrowthjourney, as well as the board and the company'sexecutive leadershipteam. Theideal candidatehas a thorough background incorporategovernance, securities law, and public company reporting. This role is based in the United States and may be fully remote.

What You'll Do:
  • Lead thecorporatesecretarial functions for the company's board of directors and committees, ensuring compliance with legal and regulatory standards.
  • Managethe company's capitalization table, maintaining accurate documentation andalignmentwithcorporategovernance and equity plans.
  • Provide legal guidance on executive compensation and employee equity, including drafting and reviewing related agreements.
  • Oversee the preparation andexecutionof the company's annual shareholder meeting and proxy statement filings.
  • Ensure ongoing compliance with stock exchange requirements and timely disclosures.
  • Monitor andmanagecompliance with Section 16 of the Securities Exchange Act, including insider transactions and filings.
  • Administer the company's insider trading compliance program, including themanagementof 10b5-1 plans and related policies.
  • Developand conduct training programs oncorporategovernance, insider trading, and other compliance areas.
  • Draft and implement related company policies.
  • Adviseoncorporatesecretarial, regulatory and compliance matters, including global subsidiarymanagement, as well as developing, implementing, andleadingtraining on policies.
  • Stay current on trends, legal developments, and best practices.
  • Coordinate and oversee the work of external counsel.
  • Work on othercorporatetransactional and disclosure matters, asneeded.

Preferred Qualifications:
  • Expertise incorporategovernance, securities law, and public company reporting, including proxy statements.
  • Experience with legal matters related to executive compensation and equity compensation matters.
  • Experience providing legalsupportto boards of directors and senior executives.
  • Demonstrated knowledge of, and ability to navigate,complexlegal and regulatory compliance issues.
  • Team player who is also able to self-start andwork independently.
  • Positive, problem-solving, businessfocusedattitude with good judgment and the ability tomanagemultiple projects simultaneously, on schedule and without compromising ethics or integrity.
  • Experienceof establishingmeaningfulworkingrelationshipswith internal/external business clients, including seniorleaders, and within the legal department.
  • Excellentorganizational,project management, problem-solving andcommunication skills, withattention to detail.
  • High degree of professionalism and discretion in handling confidential legal matters.

Minimum Requirements:
  • J.D. degree from a top-tier law school in the United States and licensed to practice law in good standing in in at least one state in the United States.
  • At least sevenyearsof experience in capital markets and/orcorporateadvisory practice.
  • Prior experience working as acorporateadvisory attorney at a reputable law firm or in an in-housecorporatelegal department at a public or late-stage private company.
  • Excellentacademic credentials.

Compensation:

This role has a market-competitive salary with an anticipated base compensation range listed below. Actual salaries will vary depending on a candidate's experience, qualifications, skills, and location. This role might also be eligible for a commission or performance-based bonus opportunities.

$148,150.00 - $290,750.00
