THE IMPACT YOU WILL MAKE

This leader will set the strategic direction for the Capital Markets, Corporate Disclosure & Securities, Tax & Benefits, and Office of the Trustee teams that provide legal advice and services related to a wide range of matters including Securities and Exchange Commission disclosure and compliance with the federal securities laws, capital markets, securitization, tax, and employee benefits. This SVP oversees the development and management of complex legal strategies, services, and resources that enable the achievement of divisional and enterprise goals. As SVP, they will report directly to our General Counsel and sit on the legal leadership team.

The SVP & Deputy General Counsel - Capital Markets, Corporate Disclosures, and Corporate Law role will offer you the flexibility to make each day your own, while working alongside people who care so that you can deliver on the following responsibilities.
  • Leads and manages a team of lawyers responsible for providing legal advice to clients in Fannie Mae's Single-Family and Multifamily Capital Markets, Corporate Finance (financial reporting and corporate tax), and Human Resources business units.
  • Provides strategic oversight of all aspects of capital markets transactions, including mortgage-backed securities, debt issuances, derivative transactions, credit-risk transfers, and other structured transactions, ensuring high quality legal services and compliance with regulatory requirements.
  • Oversees the preparation and filing of required SEC disclosures including the 10K, 10Q, 8K and filings related to securities offerings. Ensures compliance with FHFA and SEC governance requirements.
  • Oversees strategy for navigating and complying with federal, state, and local tax codes while maximizing deductions, credits, and exemptions; ensures effective legal advice related to tax returns and tax reporting obligations.
  • Oversees team responsible for Fannie Mae's Office of Trustee.
  • Monitors legislative and regulatory developments and advises senior management with respect to the potential impact on their business units.
  • Serves internally and externally as an industrywide thought leader with respect to regulatory proposals involving securities and financial markets matters.
  • Partners with the General Counsel and other members of the legal department leadership team to develop and execute the department's goals and objectives and address complex cross-functional strategic issues.
  • Develops and mentors team members, providing guidance on legal issues, professional development, and best practices.

THE EXPERIENCE YOU BRING TO THE TEAM
  • At least 15 years of relevant experience across a wide range of practice areas in a corporate legal department or a large law firm, with at least 10 years working in a leadership capacity.
  • Ideally depth of experience providing legal coverage.
  • Extensive experience in a broad range of legal and compliance issues affecting large, highly regulated financial institutions.
  • Proven track record of building trust and credibility with clients, leadership, and colleagues; strong influencing skills are required.
  • Deep knowledge of Securities and Exchange Commission regulations for corporations and large financial institutions.
  • Deep knowledge of mortgage-backed securities, asset-backed securities, and/or capital markets industry; strong familiarity with how TBA market operates and functions.
  • Ability to render strategic advice, including determining the appropriate level of risk by balancing legal, public relations and other risks against the business needs in a particular situation.
  • 10+ years in a people management capacity; a strong commitment to building, developing, and retaining high-performing teams.
