The American Hospital Association (AHA) is a national organization that represents and serves all types of hospitals, health care networks, and their patients and communities. The AHA has two main offices, located in Washington, D.C. and Chicago. We are currently seeking Senior Counsel for our Chicago office. This position is a hybrid role (three days in the office, two days working remote). Starting base salary = $184,000 - $225,000 (commensurate with related experience). Position Purpose: The Senior Counsel focuses on commercial transactions and corporate law work. The person in this role drafts and negotiates a wide range of complex agreements including software development and licensing agreements, strategic alliance agreements, event-related agreements, and a variety of templates, and takes primary responsibility for creating efficiencies within the contracting life cycle. The person in this role provides strategic advice and counsel on a range of business-law issues and operational matters and works regularly with legal team colleagues in reinforcing compliance policies, providing trainings, adopting and maintaining good record-keeping practices, engaging in pre-litigation dispute resolution, and ensuring that business undertakings are consistent with AHA's strategic plan and values. The role is in charge of all corporate maintenance, handles maintenance and upkeep of AHA's trademark portfolio, and works with colleagues in the governance department addressing matters of nonprofit and for-profit corporate law. It will involve federal government contracting familiarity. Essential Functions:
Knowledge Requirements: The position requires depth in commercial contracting and a broad knowledge of general corporate and business law and other areas of law typical for in-house counsel, such as data privacy, data security, insurance, intellectual property and risk counseling. Some knowledge of issues associated with federal government contracting preferred. Required Experience:
